1. Agreement and General Terms of Use

1.1 These Terms of Service constitute the agreement between Barkley Law Group, Inc., ( "BLG") and you as a user who accesses, subscribes to access or otherwise establishes a connection (“user,” “you,” or “your”) to the world wide web sites known as barkleylawgroup.com, (individually and collectively, the "Site" and including any sub-domains or other related BLG products and services), which are owned, controlled or managed by BLG.

 

1.2 This Site may collect personal information from our users. By using this Services and/or agreeing to this TOS, you consent to the collection, storage and processing of your data as set forth in our Privacy Policy.

 

1.3 You must be at least 13 years old to use the Service. If you are at least 13, but are still a minor (this depends on where you live), you must have your parent or legal guardian's permission to use the Service. Please have him or her read this Agreement with you.

 

1.4 You must agree to abide by all of the provisions in this agreement in order to remain an authorized user of the Site and your use of the Site constitutes your agreement to abide by those provisions. This means that you will be responsible for the acts of anyone accessing the Site through you or using your name and password.

 

1.5 BLG reserves the right, in its sole discretion, to change any or all of the provisions of this agreement at any time. BLG will notify users of any material changes by posting them on the Site or through other reasonable means of providing notice. Any changes to this agreement will be effective immediately upon notice to you. Your use of the Site after notice of changes to this agreement will be deemed your acceptance of the changes. BLG reserves the right, in its sole discretion, to change, limit, or discontinue any aspect, content, or feature of the Site, as well as any aspect pertaining to the use of the Site.

 

1.6 IF YOU DO NOT AGREE TO THE PROVISIONS OF THIS AGREEMENT OR ARE NOT SATISFIED WITH THE SITE, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE YOUR USE OF THE SITE.

 

2. User Activities and Information on The Site; Links

 

2.1 You will use the Site and any tools, features, content, material, or information found on the Site solely for lawful, non-commercial purposes. You will not allow any third party to access the Site through your account, upload to, distribute to, or otherwise disseminate through the Site any material or information of any kind that is libelous, defamatory, obscene, pornographic, abusive, or otherwise violates any law or infringes or violates any rights of any other person or entity, or contains a solicitation of funds, advertising, or a solicitation for goods or services.

 

2.2 You warrant that any material or information that you make available through the Site, including, for example, postings to comment sections and forums, is solely your original work, or that you have all necessary rights to make the material or information of any other person or entity available on the Site. You will be solely responsible for the content of any material or information that you make available through the Site. You will also be liable for any damage resulting from making any material or information available through the Site.

 

2.3 By making any material or information available through the Site, you automatically grant to BLG a worldwide, royalty-free, perpetual, irrevocable, and non-exclusive right and license to use, reproduce, modify, adapt, publish, translate, distribute and sublicense any such material or information (in whole or in part) and/or to incorporate it in other works regardless of form, media, or technology. By making any material or information available through the Site, you also grant to users other than yourself the right and license to access, view, store, or reproduce your material and information for that user’s personal use.

 

2.4 BLG has no obligation to, and does not and cannot, review every item of material or information that you and users other than yourself made available through the Site, and BLG is not responsible for any content of this material or information. However, BLG reserves the right to delete, move, or edit any material or information that it deems, in its sole discretion, unacceptable, libelous, defamatory, obscene, pornographic, abusive, or otherwise in violation of any law or that infringes or violates any rights of any other person or entity. Further, BLG reserves the right at all times to disclose any material or information as necessary to satisfy any law, regulation, or governmental request.

 

2.5 BLG reserves the right to collect, use, and distribute demographic data about you and your use of the Site in forms that do not identify you individually or reveal your identity.

 

2.6 The Site and Services may provide links to other sites or resources. Because we do not review or have no control over such sites and resources, we shall not be responsible or liable for use of or reliance on any content, products, services or information at such sites or resources. Inclusion of any links does not imply any endorsement, affiliation, approval, association or sponsorship by Investopedia of the linked websites, resources, their operators or owners. When you select a link, you may be leaving our Site. The information available on third parties websites may have certain restrictions on its use or distribution which differ from this agreement.

 

3. Rights in Site Content and the Site

You will download copyrighted content solely for your personal use, but will make no other use of the content without the express written permission of BLG and the copyright owner. You will not make any changes to any content that you are permitted to download under this agreement, and in particular you will not delete or alter any proprietary rights or attribution notices in any content. You agree that you do not acquire any ownership rights in any downloaded content.

4. Disclaimer of Warranties & Limitation of Liability

 

4.1 YOU EXPRESSLY AGREE THAT USE OF THE SITE IS AT YOUR SOLE RISK. NEITHER BLG, NOR ANY OF ITS AFFILIATES, EMPLOYEES, AGENTS, THIRD PARTY CONTENT PROVIDERS, OR LICENSORS WARRANT THAT THE SITE WILL BE UNINTERRUPTED OR ERROR FREE NOR DO THEY MAKE ANY WARRANTY AS TO THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SITE, OR AS TO THE ACCURACY, RELIABILITY, COMPLETENESS, OR CONTENTS OF ANY CONTENT, INFORMATION, MATERIAL, POSTINGS, OR POSTING RESPONSES FOUND ON THE SITE, ANY MERCHANDISE OR SERVICES PROVIDED THROUGH THE SITE, OR ANY LINKS TO OTHER SITES MADE AVAILABLE ON THE SITE.

 

4.2 TO THE EXTENT PERMITTED BY APPLICABLE LAW, THE SITE AND ALL CONTENT, MATERIAL, INFORMATION, POSTINGS, OR POSTING RESPONSES FOUND ON THE SITE ARE PROVIDED ON AN “AS IS” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF TITLE OR NON-INFRINGEMENT OR IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

 

4.3 UNDER NO CIRCUMSTANCES, INCLUDING, BUT NOT LIMITED TO, NEGLIGENCE, WILL BLG (OR ANY OF ITS PARENTS, SUBSIDIARIES, AFFILIATES, EMPLOYEES, AGENTS, THIRD PARTY CONTENT PROVIDERS, OR LICENSORS, AND THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS), BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES THAT RESULT FROM THE USE OF, OR THE INABILITY TO USE, ANY TOOL, CONTENT, INFORMATION, MATERIAL, POSTINGS, OR POSTING RESPONSES ON THE SITE OR THE SITE ITSELF. THESE LIMITATIONS APPLY REGARDLESS OF WHETHER THE PARTY LIABLE OR ALLEGEDLY LIABLE WAS ADVISED, HAD OTHER REASON TO KNOW, OR IN FACT KNEW OF THE POSSIBILITY OF SUCH DAMAGES. YOU SPECIFICALLY ACKNOWLEDGE AND AGREE THAT BLG (AND ANY OF ITS PARENTS, SUBSIDIARIES, AFFILIATES, EMPLOYEES, AGENTS, THIRD PARTY CONTENT PROVIDERS, OR LICENSORS, AND THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS), IS NOT LIABLE FOR ANY DEFAMATORY, OFFENSIVE OR ILLEGAL CONDUCT OF ANY USER, INCLUDING YOU.

 

5. Indemnification

You agree to defend, indemnify and hold harmless BLG (and any of its parents, subsidiaries, affiliates, employees, agents, third party content providers, or licensors, and their respective directors, officers, employees, and agents) from and against all claims, liability, and expenses, including attorneys’ fees and legal fees and costs, arising out of your use of the Site or your breach of any provision of this agreement. BLG reserves the right, in its sole discretion and at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. You will cooperate as fully as reasonably required in the defense of any claim.

 

6. Termination

BLG may terminate this agreement and your use of the Site at any time. BLG will have the right immediately to terminate your use of the Site in the event of any conduct by you which BLG, in its sole discretion, considers to be unacceptable, or in the event of any breach by you of this agreement.

 

7. Law Governing Performance and Disputes

This agreement, your performance under it, and any disputes arising under it will be governed exclusively by the laws of the United States of America and the State of California, without giving effect to their conflict of laws principles. You expressly consent to the exclusive forum, jurisdiction, and venue of the Courts of the State of California and the United States District Court for the Southern District of California, San Diego Division in any and all actions, disputes, or controversies relating to this agreement.

 

8. General Terms

This agreement and any posted rules on the Site established by BLG constitute the entire agreement of the parties with respect to the subject matter hereof. No waiver by either BLG or you of any breach or default under this agreement will be deemed to be a waiver of any preceding or subsequent breach or default. This agreement will be binding upon and inure to the benefit of BLG and its successors, trustees, and permitted assigns. BLG may assign this agreement or any of its rights or obligations under this agreement with or without notice to you.​

When you use BLG,   or any other online products or websites that we own (our "Site(s)") and mobile applications (our "Apps") (collectively, the “Services”), we collect information about you and use it to facilitate and improve the Services as described in this Privacy Policy.

How we collect and store information depends on the Services you use. You may also choose to post content (such as custom flashcards) that you may share with others, through our site or through your Twitter or Facebook account.

Information collected automatically: When you use the Services, we automatically collect and store information about your computer or mobile device and your activities. This information includes:

•           Your computer's IP address

•           Technical information about your computer or mobile device (such as type of device, web browser or operating system)

•           Your preferences and settings (time zone, language, etc.)

•           Unique device identifiers

•           Your mobile device's geographic location (specific GPS location if you've enabled collection of such information, or general geographic location automatically)

•           The URL of the last web page you visited before coming to one of our sites and the URL you visit after leaving

•           The words you have looked up and results you selected

•           The ads you clicked on

•           How long you used the Services and which features you used

•           The online or offline status of your App

•           Contests/Sweepstakes Partners.  When you sign up to participate in a contest or sweepstakes, your information may be provided to our sweepstakes or contest advertisers, operators, or sponsors and the use of that information will be also governed by those advertisers, operators, or sponsors privacy policies or practices.                                                                                       

•           Companies within the BLG Group of Companies: We may share your information with our affiliates, which are entities under common ownership or control of our ultimate parent company.

•           Sale or merger of our business: We may transfer your information to a third party if we or any of our affiliates are involved in a corporate restructuring (e.g., a sale, merger, or other transfer of some or all of our assets).

•           Legal Matters: We may disclose your information when we believe in good faith that such disclosure is appropriate in order to investigate, prevent, or take action regarding possible illegal activities, suspected fraud, situations involving potential threats to the physical safety of any person, violations of this Privacy Policy or the Terms of Service for the Services you accessed, and/or to protect the rights and property of BLG, our employees, users and the public. This may involve the sharing of your information with law enforcement, government agencies, courts, and/or other organizations.

 

4. Online and Mobile Interest-Based Advertising:

When you use the Services, we may serve you with ads based on various factors such as the content of the page you are visiting, information you provide such as your age or gender, your searches, demographic data, user-generated content and other information that you provide to us. These ads may be based on your current activity or your activity over time and may be tailored to your interests.

Advertisers and advertising networks may also place ads (including sponsored links in search results) on our Services. These companies, as well as data analytics companies who service them, may use cookies, pixel tags, mobile device advertising IDs and other similar technologies to collect data about you when you visit our Services (for example, web pages visited and searches made). They use the data to enable them to track your activity across various sites where they display ads and record your activities, so they can show ads that they consider relevant to you. We neither have access to, nor does this Privacy Policy govern, the use of cookies or other tracking technologies that may be placed on your computer, mobile phone, or other device you use to access the Services by non-affiliated, third-party ad technology, ad servers, ad networks or any other non-affiliated third parties.  Please bear in mind that there are many more companies listed on these sites than those that drop cookies on our Services.

When using a mobile application you may also receive tailored in-application advertisements. Each operating system, iOS for Apple phones, Android for Android devices and Windows for Microsoft devices provides its own instructions on how to prevent the delivery of tailored in-application advertisements. You may review the support materials and/or the privacy settings for the respective operating systems in order to opt-out of tailored in-application advertisements. For any other devices and/or operating systems, please visit the privacy settings for the applicable device or contact the applicable platform operator. We do not control how the applicable platform operator allows you to control receiving tailored in-application ads; thus, you should contact the platform provider if the above options are no longer available.

Mobile Device Location Information: When you use one of our location-enabled services (for example, when you access Services from a mobile device), we may need to collect and process information about your specific GPS location (including the latitude, longitude or altitude of your mobile device) and the time the location information was recorded, and we may use that information to customize the Services with location-based information, advertising, and features. Some of these services require us to associate location data with your device ID and other information we hold about you. If you wish to use the particular feature, you will be asked to consent to your data being used for this purpose. You can withdraw your consent at any time by disabling the relevant feature. 5. Do Not Track

Do Not Track (“DNT”) is a privacy preference that users can set in certain web browsers. DNT is a way for users to inform websites and services that they do not want certain information about their webpage visits collected over time and across websites or online services. We are committed to providing you with meaningful choices about the information collected on our website for third party purposes, and that is why we provide the NAI “Consumer Opt-out” link and the DAA opt-out link above. However, we do not recognize or respond to browser-initiated DNT signals, as the Internet industry is currently still working toward defining exactly what DNT means, what it means to comply with DNT, and a common approach to responding to DNT.

8. How Do We Protect Your Information?

These safeguards vary based on the sensitivity of the information that we collect, process and store and the current state of technology.

Although we take appropriate measures to safeguard against unauthorized disclosures of information, we cannot guarantee that information that we collect will never be disclosed in a manner that is inconsistent with this Privacy Policy.

 

9. How long do we keep the information we collect?

We retain the information we collect about and from you for as long as necessary to fulfill a business purpose or comply with a legal request. The Services are controlled and offered by BLG from the United States of America and, regardless of your place of residence, your use of them is governed by the laws of the State of California, USA. BLG makes no representations that the Services are appropriate for use in other locations or are legal in all jurisdictions. Those who access or use the Services from other locations do so at their own risk and are responsible for compliance with local law. You hereby consent to the transfer and processing of your data in the United States of America and any other jurisdiction throughout the world, which may or may not have different levels of privacy protection that those in your jurisdiction.

 

12. English Language.

We may provide local-language versions of the Services for the convenience and enjoyment of our international users. We reserve the right to correct translation errors and similar issues occasioned by the offering of local language versions of the Services.  The Privacy Policy governing the Services is made available in English only. If you do not agree with this Privacy Policy you should not use the Services.

 

13. Linked Sites and Advertisements.

The Services may contain links to third-party websites. We are not responsible for the privacy practices or the content of those third-party websites. We have relationships with third-party providers to provide content, products, services, and functionality through the Services. Such providers may collect information from you directly, in which case the provider’s privacy policy (which may differ from this Privacy Policy) would apply. 14. Your California Privacy Rights

If you are a resident of the State of California, under the California Civil Code, you have the right to request from companies conducting business in California a list of all third parties to which the company has disclosed personal information (as defined by California law) during the preceding year for direct marketing purposes. 15. No rights of third parties.

This Privacy Policy does not create rights enforceable by third parties.

 

16. Changes to this Privacy Policy.

We reserve the right to change this Privacy Policy at any time to reflect changes in the law, our data collection and use practices, the features of our Services, or advances in technology.
